Terms of Service

Agreement

These Terms are an agreement between you and Braintied Inc. for the Krue service. By creating an account or using Krue, you accept these Terms and the Privacy Policy. You must be at least 18 and able to enter a binding contract. If you use Krue for a company, you represent that you can bind that company.

The service

Krue is contractor operations software for estimates, jobs, invoices, scheduling, communications, payments, and AI-assisted workflows. Features and availability may change as the service develops. We may impose reasonable fair-use, safety, or technical limits needed to operate the service.

Krue is not a licensed contractor, estimator, accountant, lawyer, tax adviser, or emergency service. You remain responsible for your work, licenses, permits, code compliance, safety, taxes, staffing, customer relationships, and business decisions.

Accounts and authorized users

• Provide accurate, current account and business information.
• Protect credentials and devices and promptly report suspected misuse.
• Use Krue only for your own authorized business and workspace.
• Ensure workers and other users you invite follow these Terms.
• Keep integration, payout, tax, and contact details accurate.

You are responsible for activity performed through your account unless caused by Krue's breach of these Terms.

AI-assisted output and automation

AI output can be incomplete, inaccurate, or unsuitable. You must review scope, quantities, prices, recipients, dates, and instructions before approval or use. Krue's approval controls are not a substitute for your professional judgment. You must not use automated features to make unlawful, deceptive, discriminatory, unsafe, or high-impact decisions without appropriate human review.

Client data, recordings, and communications

You represent that you have the rights and lawful basis needed to provide personal information, recordings, photos, messages, and other content to Krue and to direct Krue to process or send it. You are responsible for required privacy notices, recording consent, marketing consent, message frequency disclosures, and honoring opt-outs under the laws that apply to you and your recipients.

Do not use Krue to send spam, purchased-list outreach, unlawful automated calls or texts, misleading messages, or content that violates another person's rights. Do not record a call or conversation unless everyone whose consent is required has consented.

Subscription billing

The self-serve Solo plan is $29 per month after a 14-day no-card trial. It includes unlimited estimates subject to fair use and published service limits. Other plans or add-ons are available only when shown in the product and may have separate terms.

Paid subscriptions renew monthly in advance until cancelled. You authorize Stripe to charge the payment method on file. You may cancel in the billing portal; access continues through the paid period. Except where law requires otherwise, payments are non-refundable and we do not issue prorated refunds for a partial month. We will give existing subscribers at least 30 days' notice of a subscription price increase.

Client card payments and Stripe Connect

If you enable client payments, Stripe provides connected-account onboarding, payment processing, verification, balances, and payouts. You authorize Krue and Stripe to create or manage the connected-account configuration and process transactions as needed to provide the feature. Stripe's agreements and policies also apply, and Stripe may require identity, business, tax, ownership, or bank information.

Krue currently deducts 3.9% + 30¢ from each successful client card payment: a 2.9% + 30¢ standard US processing allowance plus a 1% Krue platform fee. The client is charged the invoice payment and any optional tip; the deduction comes from the funds otherwise transferred to your connected Stripe account. Krue does not apply its 1% revenue fee to a tip, but the processing allowance applies to the full card charge. Any changed fee will be disclosed before it applies.

You are the provider and seller of the underlying contracting services and remain responsible for fulfillment, warranties, taxes, lawful invoices, customer support, refunds, disputes, and chargebacks. Krue is the payment merchant of record for the platform destination charge and may appear on a payment statement, but does not become the contractor or supplier of your underlying work. Refunds may reverse the transfer and application fee. You authorize recovery from your connected balance for refunds, disputes, negative balances, or amounts you owe, as permitted by law and Stripe's terms.

Connected services

Integrations such as Stripe, QuickBooks, Google, maps, email, messaging, and voice services are operated by third parties under their own terms. You authorize Krue to exchange the data and take the actions you request through an enabled integration. We are not responsible for third-party outages, policy changes, or acts outside our control, and you may disconnect an integration where the product permits.

Your content

You retain ownership of content you provide. You grant Braintied a worldwide, non-exclusive license to host, copy, transmit, process, display, and create the technical derivatives needed to provide, secure, and support Krue. This license ends when the content is deleted, subject to backup, legal, security, and financial retention described in the Privacy Policy.

Krue and its software, designs, trademarks, and documentation remain Braintied's property. We grant you a limited, non-transferable right to use Krue during your account term under these Terms.

Acceptable use

• Do not violate law, sanctions, export controls, or another person's rights.
• Do not access another workspace or probe, disrupt, or bypass security controls.
• Do not upload malware or use Krue to facilitate fraud, abuse, or harassment.
• Do not resell, scrape, reverse engineer, or overload Krue except where law permits.
• Do not misrepresent AI output, identity, authorization, work, or payment status.

Suspension and termination

We may suspend or limit access when reasonably necessary to prevent harm, comply with law or provider requirements, address nonpayment, or investigate a material violation. We may terminate for a material or repeated violation. You may cancel your subscription or delete your account in Settings. Export needed records before deletion; deletion is irreversible and subject to the limited retention exceptions in the Privacy Policy.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRUE IS PROVIDED "AS IS" AND "AS AVAILABLE." BRAINTIED DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE OR THE ACCURACY OF AI OUTPUT, PRICING, ROUTES, TAX, ACCOUNTING, TRANSCRIPTION, OR THIRD-PARTY DATA.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAINTIED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. BRAINTIED'S TOTAL LIABILITY ARISING FROM KRUE WILL NOT EXCEED THE AMOUNT YOU PAID BRAINTIED FOR KRUE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LAW PROHIBITS THEM.

Indemnification

To the extent permitted by law, you will defend and indemnify Braintied and its personnel from third-party claims arising from your content, contracting services, client relationships, communications, payments, violation of law, or breach of these Terms, except to the extent caused by Braintied.

Changes, governing law, and contact

We may update these Terms and will provide notice of material changes. Continued use after the effective date means you accept the updated Terms. California law governs these Terms without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in San Francisco County, California, unless applicable law requires otherwise.
